Terms of Service

These Terms of Service (“Terms”) govern your use of stocklinelabs.website and the apps provided by Stockline Labs, including StockChat WA (the “Services”). Stockline Labs (“we”, “us”) is based in Culiacán, Sinaloa, Mexico. By installing or using the Services you agree to these Terms.

1. The Services

StockChat WA is a WhatsApp assistant for Shopify stores that answers customers with real-time product availability, prices, photos and product links from the merchant's Shopify catalog, and can hand off conversations to a human. It uses the Meta WhatsApp Cloud API and the Shopify Admin API.

2. Eligibility and accounts

The Services are for businesses. You must be able to enter into a binding contract and have authority to act for the store you connect. You are responsible for your Shopify and Meta/WhatsApp accounts, credentials and all activity under them.

3. Merchant responsibilities

  • Comply with the Shopify Partner and API terms, the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, Meta's terms and policies, and all applicable laws (including consumer protection, privacy and anti-spam laws).
  • Obtain any required opt-in from your customers before messaging them on WhatsApp and provide them with your own privacy notice.
  • Keep your product catalog, prices and inventory accurate in Shopify. StockChat WA reflects the data in your store; you are responsible for the offers you make to your customers.
  • Review conversations and use the human handoff when appropriate.

4. Acceptable use

You may not use the Services to send spam or unsolicited messages, to sell prohibited goods under Meta's Commerce Policies, to violate others' rights, to send harmful code, to attempt to gain unauthorized access, or to reverse engineer or overload the Services. We may suspend access to protect the Services, users or third parties.

5. Fees

Any fees for the Services are shown in the app listing or in-app and are billed through Shopify where applicable. Fees charged by Meta for WhatsApp conversations, if any, are your responsibility according to Meta's pricing.

6. Data and privacy

Our Privacy Policy describes how we process data. For your customers' data, you act as controller and we process it on your behalf to provide the Services. We do not sell data. Data deletion is described at /data-deletion.

7. Intellectual property

The Services, software, brand and content of Stockline Labs are owned by Stockline Labs and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your subscription. You keep all rights to your store data and content.

8. Third-party services

The Services depend on third-party platforms such as Shopify, Meta/WhatsApp and Fly.io. We are not responsible for their availability, changes or actions. Their use is subject to their own terms.

9. Disclaimers

The Services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Automated replies may occasionally be incomplete or inaccurate; we do not guarantee uninterrupted or error-free operation.

10. Limitation of liability

To the maximum extent permitted by law, Stockline Labs will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim related to the Services is limited to the amounts you paid us for the Services in the 12 months before the claim.

11. Indemnification

You agree to indemnify and hold Stockline Labs harmless from claims arising from your use of the Services, your products or offers, your messages to customers, or your breach of these Terms or applicable law.

12. Term and termination

You may stop using the Services at any time by uninstalling the app from your Shopify store. We may suspend or terminate access if you breach these Terms or if required by Shopify, Meta or law. After uninstall, your store data is deleted as described in our Privacy Policy.

13. Changes

We may update these Terms. We will post the new version on this page and update the date above. Continued use after changes means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of Mexico. Any dispute will be submitted to the competent courts of Culiacán, Sinaloa, Mexico, unless mandatory law in your country provides otherwise.
